But the dearth of IPOs has increased the number of employees holding stock that doesn’t trade on public exchanges and has presented a challenge for companies that need capital but can’t afford to go public with all its listing and compliance (read Sarbanes-Oxley) costs.
Enter GATE Technologies which has launched an electronic platform for non-listed investments, the Global Alternative Trading Engine (GATE — get it?) for restricted stock, 144a share, warrants and even wetland or endangered species credits.
Other companies have moved into this space, said Founder and CEO Vincent Molinari, and some appear to be electronic by posting trades to their web site. GATE Technologies has used software to create an electronic marketplace to bring liquidity, process and transparency to the marketplace for institutional traders.
“Information was lacking in this marketplace. We acquired InfoEx which brings tremendous ability to take massive amounts of data, run it through a relevance engine, and deliver the results to participants through behavioral patterning, much the way Netflix does.”
GATE has 173 third party research providers entering information and 2,800 RSS feeds, he added.
Molinari described the process at GATE as close to STP.
“We have attempted to bring an end-to-end solution to an institutional marketplace with electronics, management tools and analytics.”
GATE is an active participant in regulatory and legislative changes to the off-exchange markets. The existing rule, that any stock with more than 500 shareholders must be listed, is outdated. He initiated correspondence with the SEC in January which has led to testimony in Washington.
