Electronic Trading Platform for Unlisted Shares

Take Facebook shares, for example. If you can get them. As the Wall Street Journal reported yesterday :

“Tiny GSV Capital Corp. made what seemed a most modest investment Monday: Plunking down $6.6 million to purchase private shares in Facebook Inc.

Investors’ response was anything but subdued. They pushed up shares of GSV by 42%.”

Goldman Sachs set the pace on Facebook shares, and the initial price, with its January investment which valued the social media form at $50 billion. Private sales since then have driven the value to $70 billion to $80 billion.

Many of the Facebook shares are being sold by former employees in deals arranged on private-stock exchanges like SecondMarket and SharesPost, which match buyers and sellers.

The Journal article mentions other dealers in privately held stock, a world that hasn’t received a lot of attention in the past. But the dearth of IPOs has increased the number of employees holding stock that doesn’t trade on public exchanges and has presented a challenge for companies that need capital but can’t afford to go public with all its listing and compliance (read Sarbanes-Oxley) costs.

Enter GATE Technologies which has launched an electronic platform for non-listed investments, the Global Alternative Trading Engine (GATE — get it?) for restricted stock, 144a share, warrants and even wetland or endangered species credits.

Other companies have moved into this space, said Founder and CEO Vincent Molinari, and some appear to be electronic by posting trades to their web site. GATE Technologies has used software to create an electronic marketplace to bring liquidity, process and transparency to the marketplace for institutional traders.

“Information was lacking in this marketplace. We acquired InfoEx which brings tremendous ability to take massive amounts of data, run it through a relevance engine, and deliver the results to participants through behavioral patterning, much the way Netflix does.”

GATE has 173 third party research providers entering information and 2,800 RSS feeds, he added.

Molinari described the process at GATE as close to STP.

“We have attempted to bring an end-to-end solution to an institutional marketplace with electronics, management tools and analytics.”

GATE is an active participant in regulatory and legislative changes to the off-exchange markets. The existing rule, that any stock with more than 500 shareholders must be listed, is outdated. He initiated correspondence with the SEC in January which has led to testimony in Washington.

It is likely however that you will not find what you are looking for there.

There is one more possibility for finding the owner of the number you have by means of a phone look up on one of the businesses that furnish reverse phone reports for a fee. This fee is very reasonable and can be a one time rate or a longer period subscription with unlimited use. Private investigators and others who use this information in their work use these services regularly.

This useful service enables the user to gather much useful information including address, age, and relatives of the number’s owner. It will not provide unlisted numbers. Sometimes these services claim to be free but no one works for free. To get any useful information, including the actual name, you will have to pay the fee. Otherwise you will have to be satisfied with the city the number is located in and whether it is a cell phone or land line.
